Finolex Cables positions itself as the largest and most diversified cable company in India, founded in 1945 by brothers P.P. and K.P. Chhabria and now spanning four reporting segments — Electrical Cables, Communication Cables, Copper Rods and Others — alongside a fast-moving electrical goods (FMEG) business of fans, water heaters, switchgear and lighting. The company's own FY26 Annual Report opens its Corporate Overview with a dedicated section titled "Data Centres & AI Infrastructure," describing an expansion of fibre-draw capacity to 8 million kilometres and a ~₹100 crore Phase 2 investment in its optic-fibre preform facility, alongside a case that data-centre power requirements suit its medium- and high-voltage cable capability. That said, this report treats the DC narrative honestly rather than inflating it: Communication Cables segment revenue was essentially flat in FY26 (₹500.33 crore vs ₹507.67 crore in FY25, standalone), and the only DC-specific evidence found is trade-press coverage (BusinessLine, 27 July 2026; Financial Express, 7 July 2026; an undated tele.net.in interview) rather than a disclosed, named contract — thinner and less company-quantified than the framing this report gives Polycab and KEI Industries elsewhere. The 49%-owned Finolex J-Power Systems (FJPS) EHV joint venture with Sumitomo Corporation did turn profitable in FY26 (~₹21.5 crore PBT on ~₹450 crore revenue), with management explicitly linking its prospects to "data centre and large-scale industrial power requirements" — a real, if still-recovering, DC-adjacent vehicle, given FJPS's net worth remains, in the company's own words, "substantially eroded."

A central data-quality point this report will not paper over: Finolex's own FY26 MD&A states "EBITDA increased 14% to ₹868 crores" (a ~13.7% margin). Reconciling the company's own Ten-Year Financial Summary shows this figure equals Profit Before Tax (₹806.9cr) plus Depreciation (₹59.4cr) plus Interest (₹1.75cr) — meaning the company's reported "EBITDA" includes roughly ₹382 crore of other/investment income, a figure screener.in itself separately flags as a concern. The more conservative, core-operating figure — screener's Operating Profit / EBITDA basis, which excludes that other income — is closer to ₹620-679 crore, a ~10% margin. Both figures are stated explicitly here, labeled, rather than picking one silently. Combined with screener's own flagged "Low ROE of 13.2% over 3 years" concern, the honest read is that reported profitability is partly propped up by a large treasury/investment income stream, not pure operating performance.

Net: a HOLD. Finolex is a well-run, debt-free, CRISIL AA+/A1+-rated market leader trading at a headline 27.0x trailing P/E that looks cheap — but the low three-year ROE, the other-income-dependent earnings quality, the thinnest DC evidentiary base among this report's cabling names, and an unresolved, company-disclosed Bombay High Court dispute over voting rights attached to nearly 45% of the shareholder register together argue against reading the low multiple as a clear buy signal.

Company-reported ₹868cr (13.7% margin, includes ~₹382cr of other/investment income) versus a core-operating ₹620-679cr (~10% margin, screener.in basis) — this report's central earnings-quality flag, reinforced by screener's own "Low ROE of 13.2% over 3 years" concern.
  • The DC narrative is the thinnest, least company-quantified of this report's three cabling names. Only trade-press coverage was found (BusinessLine, Financial Express, an undated tele.net.in piece) — no named hyperscaler or disclosed DC contract — and the DC-adjacent Communication Cables segment was flat to slightly down in FY26.
  • A live, company-disclosed Bombay High Court dispute over voting rights attached to Orbit Electricals Private Limited (30.70%) and Finolex Industries Limited (14.51%) — nearly 45% of the register — pending as of the Secretarial Audit Report dated 16 May 2026, very likely connected to the long-running Chhabria family ownership dispute.

Corporate governance assessment

1. Which rules actually apply

Finolex Cables is a mainboard NSE/BSE-listed company under the full SEBI LODR regime. Its six-member board comprises two executive Whole-Time Directors, one non-executive non-independent director and three independent directors (50% independent) — the Secretarial Audit Report affirmatively states the board is "duly constituted with proper balance." Notably, the executive Chairman, Mr. Ratnakar Barve (Whole Time Director and Chairman), is explicitly classified as a "Non-Promoter" director in the Directors' Report — a professional, non-family executive chairmanship, a materially different structure from a company where the Chairman-MD is the controlling promoter.

2. What the company does well

CEO and Chairman roles are separated: Mr. Mahesh Viswanathan became CEO effective 1 June 2026 (moving from CFO), with Mr. Sachin Naik taking over as CFO the same date — though notably the CEO role sits outside the formal Board of Directors list. Statutory auditor Deloitte Haskins & Sells LLP issued no qualifications, reservations or adverse remarks for FY26. Secretarial auditor Jog Limaye & Associates was newly appointed for a five-year term from FY2025-26. Internal audit is co-sourced to Ernst & Young LLP alongside an in-house team. 3. Grey areas

The CEO sitting outside the formal board structure is unusual, though not necessarily problematic for a company of this scale. The Orbit Electricals/Finolex Industries voting-rights litigation is disclosed by the company in neutral, procedural legal language, even though it is very likely connected to the publicly known Chhabria family ownership dispute — this report could not independently confirm the case's origin or current status beyond "pending" as of 16 May 2026. FJPS's "substantially eroded" net worth alongside its newly profitable FY26 P&L is a genuine tension the company has not fully reconciled in its own disclosures.

4. Red flags

SEBI's confirmed finding that designated persons traded during closed windows in FY2023-24 and FY2024-25 is a real, if modest, compliance lapse — addressed with warning letters and no disclosed monetary penalty. 5. Items to watch

Resolution of the Bombay High Court voting-rights case; confirmation of whether any pledge/encumbrance exists on Orbit Electricals' 30.70% stake (none found in sources reviewed); line-item related-party-transaction disclosure (Form AOC-2/Note 35A), particularly any transactions with Finolex Industries Limited given its dual status as an associate company and a party to the voting-rights litigation.

Governance conclusion

Day-to-day compliance mechanics look sound; the control-stability question does not. Board balance, auditor independence and MD/CFO separation are all in order on their face. But a live, company-disclosed dispute over voting rights attached to nearly 45% of the register is a real, unresolved overhang that a headline 27.0x P/E does not obviously price in — this reinforces, rather than offsets, this report's valuation-driven caution toward a HOLD rather than a BUY.
