GE Vernova T&D India is a genuine full-spectrum transmission equipment platform — power transformers, circuit breakers, gas- and air-insulated switchgear, HVDC, FACTS and substation automation up to and beyond 765 kV, across five manufacturing sites — riding India's structural grid-capex build-out (ICRA cites an industry-wide ~₹9 lakh crore T&D capital-deployment pipeline through 2032). FY26 (year ended March 2026) revenue grew 45% YoY to ₹6,206 crore and PAT more than doubled to ₹1,233 crore, continuing a two-year run in which operating margin expanded from 10% to 28%; the order backlog stood at ₹21,460 crore at FY26-end, up 70% YoY. ICRA upgraded the company's long-term rating to AA(Stable) from AA-(Positive) on 27 July 2026, citing "sustained business performance and visible backlog." Data-center exposure is present but modest and largely unquantified at the India-entity level: Q1 FY27 order commentary named "data centers" specifically among the customers for Grid Automation packages, and the company booked a 150 MVA, 245 kV transformer order from an undisclosed "leading semiconductor player" in the same quarter.
The problem is that the most recent quarter's numbers point in the opposite direction from the multiple the market is paying. Q1 FY27 (quarter ended 30 June 2026) fresh order intake fell to ₹1,137 crore, down roughly 30% YoY from ₹1,620 crore a year earlier — described by one outlet's own headline as "order softness" even as revenue and profit both grew strongly on backlog execution. In the same quarter, EBITDA margin contracted roughly 400 basis points to 25.1%, down from the 28% FY26 full-year print. Return ratios are extraordinary — ROE of 57.4% (trailing) and ROCE of 77.4% — which is itself a signal worth reading carefully: a business earning returns this far above any plausible cost of capital, at the tail end of a two-year margin run from 10% to 28%, is a business at the top of a cycle, not the bottom of one. The stock trades at roughly 83x trailing earnings, among the richest multiples of any name in this report, pricing in a continuation of exactly the growth and margin trajectory the most recent quarter's order intake and margin print have both started to question.
ICRA's July 2026 upgrade should be read for what it is: a rating agency confirming that the backlog built through FY26 was real and the balance sheet supports a higher rating — a backward-looking judgment on demonstrated performance, not a forward-looking signal about the order-intake trend that had already begun softening by the time the upgrade was published. Separately, this report is explicit that GE Vernova's global parent reported $2.4 billion of Q1 2026 data-center orders in its Electrification segment worldwide — a figure repeated in sell-side sector commentary (e.g., Nomura) as bullish framing for Indian grid-equipment names, but this is a global, parent-company figure that is not India-specific and this report does not treat it as evidence of GE Vernova T&D India's own order book. No single named India data-center contract or hyperscaler counterparty was confirmed for the India-listed entity in this research.
Net: a SELL. This is not a call that the underlying grid-capex or data-center-adjacent demand story is false — it plainly is not — but a call that at ~83x trailing earnings, with order intake already down ~30% YoY and margins already contracting off an unsustainable base, the price embeds a continuation of peak-cycle economics this report's own numbers say has already begun to turn.
GE Vernova T&D India is a mainboard NSE/BSE-listed company subject to the full SEBI LODR regime. Its promoter, Grid Equipments Private Limited, is indirectly controlled by GE Vernova Inc. (the US-listed global parent spun off from General Electric Company on 2 April 2024), and holds 51.00% as of June 2026 — well below the ~75% level implied at the time of the spin-off. Per an NSE governance-filing aggregation, the board has 9 directors, 4 independent (44%) and 2 executive. SEBI LODR's minimum independent-director threshold is ≥33% for a board with a non-executive chairman versus ≥50% for an executive-chaired board; this report identifies Rathindra Nath Basu as Independent (non-executive) Chairman per multiple sources, which would make 44% compliant, but could not fully confirm Basu carries no residual executive or GE-employment ties from sources reached, and flags this as the item to close before certifying compliance.
The company has an independent, non-executive chairman structure (subject to the confirmation above) — itself a stronger governance starting point than an executive-chaired board. The board was recently refreshed with a new independent director, Rashmi Joshi, whose five-year term began 20 March 2026, bringing cross-sector (oil & gas, FMCG, consumer durables, pharmaceuticals) experience. ICRA's rating rationale explicitly states the company adheres to "all applicable SEBI and Companies Act provisions related to board structure, diversity, and independence," and that directors are nominated via the Nomination and Remuneration Committee and approved by shareholders — a general compliance statement from a rating agency, not a detailed independent audit, but a corroborating data point nonetheless.
The current CEO's identity could not be cleanly confirmed: one aggregator names Sandeep Zanzaria, but this could not be cross-confirmed against a second primary source, even though a separate announcement referenced a 2026 CEO term extension without clearly naming the individual. Given the parent-subsidiary structure (promoter indirectly controlled by GE Vernova Inc.), related-party transactions — technology licensing, brand royalty, intercompany service agreements — are almost certainly material and routine, yet no specific RPT quantum was found disclosed in the sources this research reached. The gap between the ~75% promoter stake implied at the April 2024 spin-off and the current 51.00% is only partly explained by the one confirmed 8.38% November 2024 OFS; whether further, undisclosed stake sales occurred in between was not confirmed.
None confirmed as adjudicated matters in the sources this research reached. No SEBI enforcement action or insider-trading finding was found. ICRA's own rating history shows a downgrade around February 2020 (under the company's prior "GE T&D India" name) — establishing that the rating trajectory has not been monotonically upward over the company's full history, even though the 2026 action was an upgrade — a useful reminder that credit-rating direction can and has reversed for this entity before.
Confirmation of the current CEO's identity from a primary source; quantification of related-party transactions with GE Vernova Inc.; confirmation of Chairman Basu's non-executive/independent status; and full disclosure of the promoter's stake-reduction history since the April 2024 spin-off.
Not confirmed adequate, mainly because this report could not verify enough of it. Nothing found in this research points to actual misconduct, and the independent-chairman structure and recent board refresh are genuine positives. But an unconfirmed CEO identity, an undisclosed related-party-transaction quantum with the global parent, and an only partly-explained promoter stake-reduction trajectory mean this report cannot certify governance as fully adequate — a secondary consideration behind this report's primary, valuation-and-cycle-driven basis for the SELL call.
CMP of ₹4,385 (18 Sep 2026) divided by the disclosed trailing P/E of ~83.2x implies trailing EPS of roughly ₹52.7. This runs somewhat ahead of FY26 reported EPS of ~₹48.2 (FY26 PAT of ₹1,233 crore over an implied ~25.6 crore shares, market cap ÷ CMP), consistent with the trailing P/E window already incorporating the stronger Q1 FY27 quarter. We hold the November 2024 OFS (an 8.38% secondary stake sale by the promoter) outside this arithmetic entirely, since it was a sale of existing shares, not a primary issuance, and does not affect per-share earnings. Rather than extrapolate the FY24-FY26 margin-expansion trend forward, we apply a modest ~10% earnings-growth assumption off trailing EPS (reflecting continued backlog execution) but pair it with target multiples set below the current 83.2x, on the view that a business earning ROE of 57.4% and ROCE of 77.4% at the tail of a two-year margin run, with order intake already down ~30% YoY, is a plausible candidate for multiple compression even absent any further operational deterioration:

Even our bull-case scenario — which still assumes 75x forward earnings, itself a rich multiple by most industrial-sector standards, against continued EPS growth despite the order-intake miss — produces essentially no upside from the current ₹4,385 price, underscoring how much of the FY24-FY26 up-cycle is already priced in. Named brokerage targets found in this research skew more bullish than this report's own arithmetic: Nomura (₹5,675, date approximate, post-dating an earlier ₹3,350 target from September 2025), IDBI Capital (Buy, ₹5,214, initiated ~April/May 2026 — exact date uncertain across sources), and Emkay Global (Buy, target raised to ₹4,750 from ₹3,900); Jefferies alone strikes a more cautious note with a Hold rating despite a higher absolute target of ₹6,000. This report's own base case sits well below all of these, reflecting a more skeptical read of what the Q1 FY27 order-intake and margin data imply for forward earnings quality at the current multiple.
Upgrade triggers: a clear reversal of the Q1 FY27 order-intake decline in the following one to two quarters; EBITDA margin stabilizing or recovering toward the FY26 28% level; formal award of the Barmer- South Kalamb HVDC package with disclosed order value; or a disclosed, quantified India-specific data-center order large enough to be independently material. Downgrade triggers: a further order-intake decline; continued margin contraction; or any evidence that the July 2026 ICRA upgrade was, in hindsight, a peak-cycle confirmation rather than a sign of durable credit strength.
